The governing document of Dreams to Reality Foundation — our commitment to transparency, accountability, and purpose.

Name

The name of the Organization shall be Dreams to Reality Foundation.

Registered Office

The registered office of the Foundation shall be situated in Nigeria at an address to be determined by the Board of Trustees.

Aims and Objectives

The Foundation is established to:

  1. Empower youths, women, and vulnerable individuals through education and skills development.
  2. Promote entrepreneurship and economic self-reliance.
  3. Provide humanitarian assistance and relief support.
  4. Promote community development initiatives.
  5. Support health awareness and social welfare programs.
  6. Collaborate with governmental and non-governmental bodies for sustainable development.

Non-Profit Status

  1. The Foundation shall operate as a non-profit, non-political, and non-religious organization.
  2. Income and property of the Foundation shall be applied solely toward promoting its objectives.
  3. No portion of the income shall be paid to members except as reimbursement for approved expenses.

Membership

5.1 Eligibility

Membership is open to individuals who support the objectives of the Foundation and agree to abide by this Constitution.

5.2 Categories

Founding Members Executive Members Ordinary Members Honorary Members

5.3 Termination

Membership may be terminated by resignation, misconduct, or violation of this Constitution.

Board of Trustees

6.1 Composition

The Foundation shall have a minimum of two (2) Trustees as required by law.

6.2 Qualification

Trustees shall:

  • Be at least 18 years old.
  • Be of sound mind.
  • Not be an undischarged bankrupt.
  • Not have been convicted of fraud or dishonesty.

6.3 Powers of Trustees

The Trustees shall:

  • Hold the property of the Foundation in trust.
  • Ensure the Foundation operates in line with its objectives.
  • Comply with all regulatory requirements.

6.4 Tenure

Trustees shall hold office for a period of five (5) years and may be reappointed.

6.5 Removal of Trustees

A Trustee may be removed by a two-thirds majority vote at a General Meeting on grounds of misconduct or inability to perform duties.

Governing Body (Executive Committee)

The Executive Committee shall manage the day-to-day affairs of the Foundation and shall consist of:

Vice President
Director of Administration
Assistant Secretary
Treasurer
Financial Secretary
Public Relations Officer
Project Coordinator

Duties of Officers

President

Provides leadership and presides over meetings.

Director of Administration

Maintains records, official duties and correspondence.

Treasurer

Manages finances and presents financial reports.

Other officers shall perform duties assigned by the Executive Committee.

Meetings

  1. Annual General Meeting (AGM) shall be held once a year.
  2. Executive meetings shall be held as required.
  3. Quorum for General Meeting shall be one-third of members.
  4. Quorum for Executive Meeting shall be two-thirds of executive members.

Finance and Account

  1. The Foundation shall operate a bank account in its name.
  2. At least two authorized signatories shall approve withdrawals.
  3. Proper accounting records shall be maintained.
  4. Annual financial statements shall be presented at the AGM.

Common Seal

The Foundation shall have a Common Seal, which shall be kept in the custody of the Secretary and used only by authority of the Trustees.

Amendment

This Constitution may be amended by a two-thirds majority vote at a duly convened General Meeting, provided notice of amendment has been given.

Dissolution

Upon dissolution:

  • All debts shall be settled.
  • Remaining assets shall be transferred to another registered non-profit organization with similar objectives.
  • No assets shall be distributed among members.
