Understanding how Dreams to Reality Foundation operates, makes decisions, and remains accountable to its mission.

General Assembly Duties

The General Assembly serves as the highest decision-making body of the Foundation, representing all members in key organizational decisions.

1. Electing Leadership

  • Choose or confirm members of the board of directors or trustees.
  • Elect officers (e.g., chairperson, health officer, treasurer).

2. Approving Strategic Direction

  • Review and approve the organization's mission, vision, and major strategic plans.
  • Approve long-term goals and major projects.

3. Reviewing Financials

  • Approve annual budgets.
  • Review audited financial statements and reports.
  • Approve financial policies and major funding decisions.

4. Amending Bylaws

  • Consider and adopt changes to the foundation's bylaws or governing documents.

5. Oversight and Accountability

  • Hold leadership accountable by reviewing performance reports.
  • Ensure compliance with laws, ethical standards, and donor intentions.

6. Major Organizational Decisions

  • Approve mergers, dissolutions, or significant structural changes.
  • Ratify major contracts or commitments that bind the organization.

7. Member Engagement

  • Serve as a forum for members to raise issues, vote on motions, and set priorities for the year.

Important Note: The General Assembly takes directives from the Founder of Dreams to Reality Foundation, Deaconess Elizabeth Ebun Okojie, ensuring the vision and mission remain aligned with the original purpose of the organization.

Board of Trustees (BOT) Duties

The BOT is responsible for governance, oversight, and safeguarding the mission — not day-to-day management. They are the guardians of the Foundation's integrity.

1. Protect Vision & Mission

  • Ensure all programs align with the foundation's objectives.
  • Prevent mission drift.
  • Safeguard the organization's values and reputation.

2. Provide Strategic Direction

  • Approve long-term plans and major projects.
  • Set policies that guide leadership decisions.
  • Review and evaluate organizational performance.

3. Financial Oversight

  • Approve annual budgets.
  • Monitor income, donations, and expenditures.
  • Ensure proper accounting and transparency.
  • Prevent misuse of funds.

4. Legal & Regulatory Compliance

  • Ensure compliance with Nigerian laws and CAC regulations.
  • Approve changes to constitution or bylaws.
  • Ensure proper documentation and reporting.

5. Appointment & Supervision

  • Appoint or remove key officers (e.g., Executive Director).
  • Provide oversight without interfering in daily operations.
  • Evaluate leadership performance objectively.

6. Risk Management

  • Identify potential risks (financial, legal, reputational).
  • Put control measures in place.
  • Ensure internal checks and balances exist.

7. Fundraising & Networking

  • Use their influence and networks to attract donors and partners.
  • Represent the foundation in strategic engagements.

8. Ethical Governance

  • Avoid conflicts of interest.
  • Act in the best interest of the foundation at all times.
  • Maintain confidentiality where required.
